Agent Service Agreement

This Agent Service Agreement ("Agreement") is between myClosingCost, LLC ("Company," "we," "us") and the real estate professional ("Agent," "you") who registers an account on myClosingCost.com. By creating an account or clicking "I Agree," you agree to be bound by this Agreement.
1. The Service
myClosingCost operates a closing-cost calculator for US residential real estate. Consumers use the calculator to estimate transfer taxes, recording fees, title insurance, and agent commissions for a specific property. When a consumer calculates costs in a zip code and price bracket where you are registered, your profile may be displayed to that consumer. The Company does not guarantee a minimum number of consumer views, selections, or introductions.
2. Eligibility
You must hold an active real estate license issued by a US state or territory. You must provide accurate license information during registration. You authorize the Company to verify your license status at any time. Providing false license information is grounds for immediate termination without refund.
3. Subscription Fees
Market listings are billed at $10.00 USD per calendar month per zip code per price bracket ("Subscription Fee"). Fees are charged on the 1st of each month for the current month. Annual subscriptions, where available, are billed upfront at $96.00 USD per zip code per price bracket per year (equivalent to $8/month). All fees are non-refundable except as described in Section 4. You are responsible for keeping a valid payment method on file. Failed payments result in suspension of your listing until the outstanding balance is settled.
4. No-Intro Launch Guarantee (Limited Time)
For accounts registered during the launch period, if you receive zero consumer introductions in a calendar month for a specific market (zip code + price bracket), the Company will credit your Subscription Fee for that market against the following month's invoice. "Introduction" means a consumer submitted a contact request that included your profile. This guarantee applies to months in which your subscription was active for the full calendar month. The guarantee runs through June 30, 2027. The Company reserves the right to discontinue the guarantee for new registrations at any time with 30 days' notice; existing registrations honored through June 30, 2027.
5. Introduction Fee
An "Introduction" occurs when a consumer clicks a contact button (phone or email) linked to your profile in a myClosingCost consumer contact email. Each Introduction is charged at $49.00 USD ("Introduction Fee"). The Introduction Fee is charged to your payment method on file within 48 hours of the Introduction event. Introduction Fees are non-refundable. If a consumer contacts you through myClosingCost but the transaction does not proceed, you are still responsible for the Introduction Fee — the fee is for the connection, not the outcome.
6. Optional Boost
You may pay an additional monthly amount ("Boost") to increase the probability that your profile appears in consumer results relative to other agents in the same market. Boost amounts are set by you and may be changed monthly. Boost payments do not guarantee any specific number of appearances, introductions, or transactions. Boost is charged on the same billing cycle as the Subscription Fee.
7. Profile Requirements and Conduct
You agree to provide accurate information in your profile including your name, brokerage affiliation, license number, commission structure, and geographic markets served. You must not misrepresent your commission rate, experience, or licensing status. You must respond to consumer introductions in a timely and professional manner. The Company reserves the right to suspend or terminate any account for unprofessional conduct, consumer complaints, or violation of any applicable real estate licensing law.
8. Prohibited Conduct
You may not: (a) create multiple accounts to circumvent market slot limits or bidding rules; (b) collude with other agents to manipulate the boost or slot system; (c) contact a consumer introduced through myClosingCost for any purpose other than providing real estate services related to the property for which the introduction was made; (d) scrape, harvest, or systematically collect consumer data from the platform; (e) use automated tools to interact with the platform.
9. Consumer Data and Privacy
Consumer contact information shared through an Introduction (name, email, phone) is provided solely to facilitate the specific real estate transaction for which the Introduction was made. You may not add consumer contact information to marketing lists, share it with third parties, or use it for any purpose other than responding to the specific consumer inquiry. You must comply with all applicable laws regarding the handling of personal information, including CAN-SPAM and applicable state privacy laws.
10. Intellectual Property
myClosingCost, its logo, and its closing cost data are the exclusive property of myClosingCost, LLC. You are granted a limited, non-exclusive license to display the myClosingCost name and logo solely to indicate your participation in the platform, subject to brand guidelines provided by the Company. You may not reproduce, reverse-engineer, or commercially exploit the Company's closing cost database.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS." THE COMPANY DOES NOT GUARANTEE ANY SPECIFIC NUMBER OF LEADS, INTRODUCTIONS, OR CLOSED TRANSACTIONS. CLOSING COST ESTIMATES DISPLAYED TO CONSUMERS ARE FOR INFORMATIONAL PURPOSES AND MAY DIFFER FROM ACTUAL SETTLEMENT COSTS. THE COMPANY IS NOT A LICENSED REAL ESTATE BROKER AND DOES NOT REPRESENT CONSUMERS OR AGENTS IN ANY TRANSACTION.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THIS AGREEMENT SHALL NOT EXCEED THE TOTAL SUBSCRIPTION FEES PAID BY YOU IN THE THREE MONTHS PRECEDING THE CLAIM. THE COMPANY IS NOT LIABLE FOR LOST PROFITS, LOST TRANSACTIONS, OR CONSEQUENTIAL DAMAGES.
13. Termination
You may cancel your subscription at any time; cancellations take effect at the end of the current billing period. The Company may suspend or terminate your account immediately for material breach of this Agreement, fraudulent conduct, or non-payment. Upon termination, your profile is removed from consumer results at the end of the current billing period. No refunds are issued for partial months.
14. Changes to This Agreement
The Company may update this Agreement with 30 days' written notice by email to your registered address. Continued use of the Service after the notice period constitutes acceptance. If you do not agree to the updated terms, you must cancel your subscription before the effective date.
15. Governing Law
This Agreement is governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute shall be resolved by binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction. Class action waivers apply.
